BOOKEDNG SERVICE PROVIDER AGREEMENT

This Service Provider Agreement is between Booked Nigeria Services, the operator of BookedNG, and every provider who sells tickets, accepts bookings, or offers services through BookedNG.
It replaces the legacy organizer-only framing and applies to all service providers using the platform.
1. Definitions
Booked Nigeria Services is a Nigerian business name registered with the Corporate Affairs Commission under BN 9709663, with its principal place of business at Block A, Unit 5, Technology Incubation Center, Samonda, Ibadan, Oyo State, Nigeria.
BookedNG is a multi-vertical booking platform, including events, appointments, experiences, and other services in future.
"Service Provider" means any person, business, team, or partner offering services on BookedNG.
"Organizer" means a provider who creates events.
"Vendor" means a provider who offers appointment or service appointments.
"Experience Provider" means a provider who lists activities, tours, classes, outings, or other experience-based services through BookedNG.
"Attendee" means a person who purchases a ticket or books a service.
"Guest" means a person using the platform without provider status.
2. Scope
This Agreement applies when you:
create and manage event listings
issue and manage tickets
create and manage appointment services
create and manage experience provider profiles, listings, sessions, participant requirements, and related media
handle service bookings through a provider dashboard
accept payments or payouts through BookedNG's integrated payment tools.
3. Provider responsibilities
You are responsible for lawful operation of your service offering.
You are responsible for truthfully describing events/services and availability.
You are responsible for compliance with laws, permits, licensing, and tax obligations.
You are responsible for staff quality, service execution, and customer care.
You are responsible for any refunds, cancellations, or policy decisions listed in your booking terms and listing details.
4. Listings and accuracy
Service information must be accurate and current.
False, misleading, or fake listings may lead to suspension.
Changes to event time, capacity, service price, or venue should be updated promptly.
Experience providers must keep session timing, capacity, pricing, location, safety information, media, waiver previews, and customer requirements accurate before accepting bookings.
BookedNG may request supporting evidence where required.
5. Verification and onboarding
BookedNG keeps one provider-verification record for each provider organization and may use that record across Events, Appointments, Experiences, and other BookedNG provider services.
Every provider must maintain a verified responsible-account email, a working operational phone number, a responsible-person government ID, an operating address, and a Paystack-verified payout account. Phone or WhatsApp number verification is voluntary unless BookedNG gives notice of a lawful, safety, fraud, or product-specific reason to require it.
A registered business must also provide its CAC registration number, CAC registration document, and the responsible representative's government ID.
Providers offering services involving children or water may be required to provide evidence of instructor competence, first aid or CPR, and safeguarding practices. Regulated medical, legal, counselling, or financial providers may be required to provide a current professional licence. Food, outdoor, adventure, or other safety-sensitive services may require applicable food-safety evidence, a safety plan, first-aid evidence, or insurance requested after BookedNG review.
Risk indicators suggested from a listing do not become provider requirements until the provider declares that they apply or BookedNG confirms them after review.
Documents are reviewed manually unless BookedNG clearly states that an approved third-party verification service is being used. The current manual process does not require a selfie or automated face-to-ID match.
Existing providers approved before this policy update may remain live while completing requested transition information. A transition reminder or missed transition deadline does not by itself automatically suspend, delist, or hide an existing approved listing. BookedNG may still take proportionate action under section 11 for an independent safety, security, legal, fraud, payment, or serious policy risk.
BookedNG may send the responsible provider clear email reminders identifying missing information, how to provide it, the shared verification-dashboard link, and the applicable deadline.
You are responsible for keeping provider details and evidence accurate, current, legible, and lawful, and for replacing expired or rejected documents when requested.
6. Payments and payouts
Where Paystack Manual Payouts are used, customer payments settle into BookedNG's Paystack Balance before BookedNG issues approved transfers to Service Providers.
Paystack provides payment processing and transfer infrastructure. BookedNG controls payout eligibility, release timing, holds, reviews, and transfer instructions according to the applicable provider type and platform policy.
BookedNG uses one payout trust policy across Events, Appointments, and Experiences, while progress is measured separately in each provider vertical.
Level 1 releases 30% of eligible provider earnings before service delivery and protects 70% until after delivery. Level 2 releases 60% and protects 40%. Level 3 releases 70% and protects 30%.
Events move up after the first and second successfully completed events. Experiences move up after the first and second successfully completed sessions. Appointments move up after each milestone of five completed paid appointments involving at least three different customers.
The applicable release level is saved with each successful payment so a later level change does not rewrite that payment.
Event payouts run at 10:00 AM, Appointment payouts at 10:05 AM, and Experience payouts at 10:10 AM Lagos time after the applicable payment, payout-account, refund, dispute, delivery, compliance, balance, and safety checks pass.
Amounts due to the same provider within one vertical before that vertical's payout time are combined into one vertical transfer. Payouts are not combined across Events, Appointments, and Experiences.
Every bank transfer fee and any applicable statutory transfer levy or stamp duty is deducted from the related provider payout before the net transfer is sent. BookedNG does not absorb those charges.
There is no fixed payout amount cap. At Levels 2 and 3, BookedNG automatically holds a payout for admin review when current eligible gross earnings before the release percentage reach at least 1.5 times the median gross amount of the previous three successful payout batches in that vertical.
A growth alert is a routine safety review and does not by itself mean wrongdoing. The payout stays on hold until an authorised admin approves it, keeps it on hold, or suspends the affected vertical or provider payouts.
BookedNG may also review unusual payment concentration, repeated customer or payment patterns, rapid changes, linked accounts, chargeback signals, or other financial-crime and platform-abuse indicators.
When customers pay, an available portion may be released to help the provider prepare and a protected portion remains with BookedNG until after delivery. If trust is broken, BookedNG may pause unreleased money, review evidence, and pursue a refund or recovery; money already released can take longer to recover and recovery is not guaranteed.
Providers remain responsible for delivery and repayment obligations. Customers remain responsible for accurate details, compliance with booking terms, attendance obligations, and prompt reporting. BookedNG provides payment controls and review assistance but does not eliminate every transaction or service-delivery risk.
BookedNG can hold, release, delay, or dispute payouts based on:
fraud checks
chargeback and reversal risk
compliance reviews
dispute and legal holds
Payout settings and timing are governed by your provider type and platform policy.
You should not promise instant refunds outside your listed booking terms.
7. Communication and customer support
You agree to communicate with guests/attendees through BookedNG channels where required by platform flows.
You must respond to support escalations for your accepted bookings in a timely manner.
Disputes should be handled in line with BookedNG support and documented ticketing channels.
8. Prohibited conduct
You must not list illegal, unsafe, fraudulent, or harmful services.
You must not abuse booking or ticket policies to evade platform limits.
You must not manipulate pricing, availability, or customer data in deceptive ways.
You must not share another user's personal data without authorization.
9. Data and privacy responsibilities
You may receive user data only for the delivery of your listed service and as required to operate it.
For confirmed paid or subscription appointments, BookedNG may provide the customer's verified email and WhatsApp number so you can administer and deliver that appointment.
You must not use appointment contact details for unrelated advertising, add customers to marketing lists, or contact them after the service-delivery need ends unless the customer separately consents or another lawful basis applies.
You must store and handle customer data lawfully.
You must not repurpose customer data outside your service context.
You must not expose raw payment data.
Customer account deletion requests are governed by the BookedNG Privacy Policy. Service Providers must not retain or reuse customer data beyond the service-delivery, legal, dispute, refund, safety or accounting need that justified receiving it.
10. Liability
BookedNG is a technology platform.
BookedNG does not operate your service directly.
You remain liable for service delivery quality, safety, legal obligations, and customer treatment.
BookedNG is not liable for losses arising from your execution decisions.
11. Suspensions and enforcement
BookedNG may suspend or remove accounts or listings where:
policy is violated
identity is suspicious
customer safety concerns are identified
legal or payment risks are raised
Abusive abuse patterns may lead to temporary or permanent actions.
BookedNG may delist a specific event, appointment service, or Experience without deleting the listing. A delisted listing remains visible and editable to the Service Provider and BookedNG, but is removed from marketplace discovery, direct public booking, and new purchases.
Except where immediate action is required for safety, security, legal, fraud, or payment risk, BookedNG will provide a case number, reasons, and requested corrections by email and in the platform.
The Service Provider may use that case to submit corrections or appeal. Only BookedNG may reactivate a delisted listing after review, and BookedNG may request further corrections.
Delisting does not automatically cancel existing bookings or tickets and does not remove refund, dispute, payout, service-delivery, support, or record-retention obligations. Case correspondence and enforcement actions may be retained for audit and support purposes.

13. Governing law
This Agreement is governed by the laws of the Federal Republic of Nigeria.
Disputes follow Nigerian courts unless otherwise lawfully required.
14. Updates
BookedNG may update this Agreement from time to time.
Updated versions are published on the platform and take effect as announced.
Continued use of provider features after an update indicates acceptance.
